Agreement to Terms

These Terms and Conditions govern your use of Birchwood's legal services and website. By engaging our services or accessing our website, you agree to be bound by these terms. If you disagree with any part of these terms, please do not use our services or website.

These terms constitute a legally binding agreement between you and Birchwood. Please read them carefully before proceeding with any engagement or website use.

Definitions

  • "Services" refers to legal advisory and consultation services provided by Birchwood, including property law assistance, immigration guidance, and non-profit formation support.
  • "Client" or "You" refers to any individual or organization engaging our legal services or using our website.
  • "Website" refers to the Birchwood online presence and all associated pages.
  • "Firm," "We," or "Us" refers to Birchwood legal practice.
  • "Agreement" refers to these Terms and Conditions plus any engagement letter or service agreement between parties.

Use of Legal Services

Permitted Use

Our legal services are provided for lawful purposes within our areas of practice. Clients must provide accurate, complete information necessary for competent legal representation and must cooperate with reasonable requests for information or documentation.

Age Requirements

Individuals engaging our services must be of legal age in their jurisdiction or have appropriate legal guardian authorization. We reserve the right to request age verification or guardian consent.

Information Accuracy

You are responsible for ensuring all information provided to us is accurate and complete. Inaccurate or incomplete information may affect our ability to provide competent legal services and could result in unfavorable outcomes.

Prohibited Activities

You may not use our services or website to:

  • Violate any applicable laws, regulations, or professional rules
  • Infringe upon intellectual property rights of others
  • Transmit harmful code, viruses, or malicious software
  • Attempt unauthorized access to our systems or data
  • Engage in fraudulent activities or misrepresentation
  • Harass, threaten, or abuse our staff or other clients
  • Use automated systems to access our website without authorization
  • Resell or redistribute our services without written permission

Intellectual Property Rights

All content on our website, including text, graphics, logos, images, and software, is the property of Birchwood or its content suppliers and protected by Canadian and international copyright laws. Unauthorized reproduction, modification, distribution, or republication is prohibited.

We grant you limited, non-exclusive, non-transferable license to access and use our website for personal, non-commercial purposes. This license does not include rights to download, copy, or redistribute content except as explicitly permitted.

Documents prepared for clients as part of legal services remain your property. However, our work product, methodologies, and internal materials remain our intellectual property.

Payment Terms

Fees and Currency

Legal service fees are quoted in Canadian Dollars (CAD) and established in engagement letters. Fee structures vary by service type and may include flat fees, hourly rates, or other arrangements as agreed upon engagement.

Payment Timing

Payment terms are specified in engagement letters. Generally, retainers may be required before work commencement, with final invoices due upon matter completion or as otherwise agreed. Late payments may incur interest charges as permitted by law.

Additional Costs

Clients are responsible for disbursements and third-party costs incurred in providing services, including registry fees, courier charges, filing fees, and similar expenses. We will obtain your approval before incurring significant additional costs.

Refund Policy

Refunds for legal services are assessed on a case-by-case basis considering work completed, expenses incurred, and circumstances of service termination. Retainers paid for work not yet performed may be refundable, minus any work completed and costs incurred.

Refund requests should be submitted in writing to our office. We will respond within reasonable timeframe and process approved refunds within 30 days.

Third-party disbursements and non-recoverable costs are generally non-refundable once incurred.

Disclaimers and Limitations of Liability

Service Provision

Legal services are provided "as is" based on information available and applicable law at time of service. While we strive for favorable outcomes, we cannot provide outcomes or results in legal matters, as these depend on various factors outside our control.

Limitation of Liability

To the fullest extent permitted by law, Birchwood's liability for any claims arising from legal services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect, consequential, or special damages.

Risk Acknowledgment

You acknowledge that legal matters involve inherent uncertainties and that outcomes cannot be predicted with absolute certainty. By engaging our services, you accept these inherent risks.

Termination of Services

Either party may terminate the legal services relationship with written notice, subject to professional obligations and Law Society regulations. Upon termination, clients remain responsible for fees and expenses incurred through the termination date.

We reserve the right to withdraw from representation if continued service would violate professional rules, conflict of interest arises, client fails to fulfill payment obligations, or client fails to cooperate reasonably with service delivery.

Upon termination, we will provide client files and documents as required by professional rules and as agreed in engagement terms.

Dispute Resolution

Informal Resolution

We encourage clients to contact us directly to resolve any concerns or disputes informally before pursuing formal proceedings.

Mediation

If informal resolution is unsuccessful, parties agree to attempt mediation before initiating legal proceedings, unless circumstances require immediate court intervention.

Jurisdiction and Governing Law

These Terms are governed by the laws of Nova Scotia and Canada. Any legal proceedings arising from these Terms or our services will be subject to the exclusive jurisdiction of the courts of Nova Scotia.

General Provisions

  • Entire Agreement: These Terms, together with any engagement letter, constitute the entire agreement between parties regarding our services.
  • Severability: If any provision of these Terms is found unenforceable, remaining provisions remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision does not constitute waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms or any rights hereunder without our written consent.
  • Notices: All notices must be in writing and sent to addresses provided in engagement letters or as updated.
